Commercial leasing guide

Match operating requirements, approvals and lease obligations.

01

Check the permitted use

Check approved land/building use, planning conditions and the proposed activity. A commercial title or landlord’s consent does not automatically authorise every business. Confirm access, fire safety, equipment, parking, loading and management restrictions before signing.

02

Fit-out, business and signage approvals

In Kuala Lumpur check the relevant DBKL and other authority requirements for fit-out, change of use, business and signage. Fire-safety requirements may also apply. Approval routes vary by works. Strata premises may need owner and JMB/MC consent; confirm food use, extraction and structural alterations in particular.

03

Costs, fit-out period and reinstatement

Agree deposits, fit-out concessions, rent reviews, service charges, utilities, repairs and reinstatement in the lease. Terms are property-specific. Specify what happens if approvals fail, when rent starts and the consequences of early exit.

04

Lease taxes and charges

Assess stamp duty on the actual instrument under current HASIL rules, with ordinary bands based on term and annual rent. Turnover rent, premiums and special arrangements need separate assessment. Any applicable service tax depends on the supplier and current rules; request an itemised written quotation.

Frequently asked questions

Does a commercial title permit every business?
Legal requirement

An advertisement or title description alone is insufficient; check approved use, zoning, activity and licensing conditions. In Kuala Lumpur, confirm compatibility with DBKL before signing the lease.

Can a home be used as an office or shop immediately?
Legal requirement

Changing land or building use may require planning and related approvals, and unauthorised changes can lead to enforcement. Have a qualified adviser confirm the proposal with DBKL and separately check business licensing.

Does signing a commercial lease give me a business licence?
Legal requirement

A lease provides a contractual arrangement to use the premises and does not replace required operating permissions. Check local and sector licensing conditions and agree what happens if approval is refused.

Does every shop renovation need the same permission?
Legal requirement

Approvals depend on structural, floor-area, facade and use changes; some internal works have planning exemptions. Check building requirements for the actual work and obtain written owner and applicable management consent.

Does a shop sign require a separate application?
Legal requirement

DBKL signboards are subject to advertising licence and installation conditions; a business licence should not be treated as sign approval. Obtain the required DBP language confirmation and check dimensions, placement and documents.

What should I check before leasing a food premises?
Legal requirement

Before committing, check food use, exhaust, drainage, grease control, fire and hygiene requirements. Existing fit-out or a previous food business does not guarantee approval for a new applicant.

Can I get a rent-free fit-out period?
Contract term

Negotiate fit-out relief and record the dates, maintenance charges, utilities and handling of approval delays. A verbal rent-free offer is not a confirmed concession.

Who pays commercial service charges, utilities and other outgoings?
Market practice

Allocate maintenance, marketing, utilities, parking, insurance and taxes individually in the quotation and lease rather than assuming they are included in base rent. Confirm account holders, payers, increases and move-out settlement, and obtain a current breakdown.

How much is a commercial deposit, and can guarantees be negotiated?
Owner condition

There is no single quoted deposit for every shop or office; confirm the owner’s requirements and negotiated terms. Specify deposits, advance rent, bank or personal guarantees separately, including amounts, duration, deductions and release conditions.

Must I reinstate the premises when leaving?
Contract term

Define fit-out removal and reinstatement in the lease, drawings and handover record. Agree the return standard, inspection, deadline and cost responsibility and budget for exit works.

Does a foreign company always pay 8% when buying a shop?
Legal requirement

The 8% rate concerns qualifying residential transfers and should not be applied to every commercial property. Other real property within item 32(aa) generally attracts 4%; confirm classification, buyer status and relief with a solicitor or HASIL.

How do shop and office leasing conditions differ?
Market practice

For shops, focus on trading activity, footfall, signage, exhaust and opening hours; for offices, examine occupancy, air-conditioning hours, connectivity, visitors and lift access. Actual conditions depend on the building, owner, business and applicable permissions, not just a commercial label.

Can I remove walls, add a mezzanine or alter the structure?
Legal requirement

Verbal owner consent is insufficient; have a qualified adviser assess structural, floor-area and fire implications and establish required approvals first. Submit applicable plans and documents to DBKL, obtain necessary written owner and management consent, and work within the approved scope.

What agreement fees and taxes apply to a commercial lease?
Legal requirement

Assess stamp duty, legal fees and disbursements separately rather than treating service charges as tax. Duty depends on the instrument, term and consideration, legal fees follow applicable scales, and other rental taxes require a separate current assessment.

What happens if I end a commercial lease early?
Contract term

Check break rights, notice, claims for remaining rent, deposits, guarantees and reinstatement rather than assuming the deposit is the only exposure. Agree how refused approvals, business changes, replacement tenants and a negotiated surrender will be handled, with legal review of liability.
